Backlinks from archived content? SEO penalty?

I'm curious, if I go to webmasters and suggest a change to an article in their archives (convincing them that the new link offers more value to their readers), how would Google look at that?
It seems to me that if a two-year-old article all of a sudden gets a new link, it might look fishy, and might even bring penalties with it.
Thoughts?

Why would it will be a problem? I mean if webmasters convince they will defiantly going to link to the source you are trying to promote and I think this will not really a problem for Google as well as you are providing better information.
This is similar to Content Refresher and Google is cool with this tactic!

Nope, I think you are wrong.
That is honest link building as you will be ultimately providing better information. Just don't over do it.
If you find it to be an easy task then probably your content isn't worth linking. But if you are really providing better info, then webmasters might be pleased to link to a better source.

My question is about the connection between web page content and backlink relevancy, how much it is important? Could I be the victim of negative SEO?
While I was searching for bad links to one of my website, I realized that there were lots of backlinks from trackbacks on various blogs. Most of these trackback links are definitely spammy as they are not relevant with the blog topics and they use exact anchor text. The thing is that I am 300% sure that it has nothing to do with any SEO campaign services I've bought in the past. They link back to pages I've never optimized at all. So could I be the victim of a negative SEO campaign? What do you think?
