Do links behind paywalls pass value?

Hi - we are about to have a product review go live on a site that uses a paywall.
Will the link from this still pass SEO value to our site, and should we therefore optimise it?

A paywall is referring to content that is hidden behind a paid/membership system / member's only access. So if it's restricted to the bots, there's no SEO value.
It's like if you click on particular sections of SEOMoz, which are members only, they are not really open to the bots, in which case, there's no real direct traffic from Google hitting that page, so no SEO optimization needed. (Although there's a way to provide bots access to data behind your paywall and then it "could" be indexed. The question then becomes, would you want it indexed ?)

Anything that is restricted to the bots, not index-able...behind user/pass / paywalls can't be indexed (normally). So if that's the case, I would not worry about optimizing it for Search. It should still be optimized for users through :).

If its a do-follow link, and the page is indexed by Google (not hidden from Google), then it will pass value.

Which Links to Disavow!
We just took over SEO for a new client who is being penalized for a bad link profile. They've asked Google to reconsider multiple times, and Google still claims that the links are bad. Because of this, and because I don't have direct access (logins, etc.) to what the former SEO did, I am considering using the disavow links tool. The most obvious links to disavow are a group of almost 1000 links that come from the same forum. However, when viewing the links on this forum they actually seem natural. People are reviewing the product (ipod cases), both negatively and positively. While this could have been an SEO tactic for link building, I don't want to disavow these links if they're not the problem, even though this domain is the source of almost all the low-quality links. Another site that has more than 200 links is Askives. Do any of you have experience with links from Askives, or removing these links? Thanks again!

Link Pharming
My company has been using an SEO company for a while and have built up our pagerank to a 6. However, we have noticed that they're involved in link pharming - they're buildng extra websites and linking to our site on them. We are not happy with this as we know it will only be a matter of time before Penguin hits us. The contract with the SEO company is coming up for renewal soon and we're thinking of cancelling it. However, we are not sure if the company will delete all our backlinks, which will probably decrease our PageRank too. Has anyone here ever had a similar experience? What did the SEO company do when you cancelled the contract? Does anyone here work for an SEO company and what do you do when someone cancels your service?

Changing links
Hi guys i wanted you views on changing the anchor text of links. I have quality links coming in but with year terms such as 2012 in there, if i want to change them all to 2013 for example would it be badly seen by Google? I cant say i feel comfortable about doing it but they are my links and are related to our products. Any advice much appreciated.

If I have lets say 5 sites and I am able to negotiate a link on a highly ranking site for all five of them together would there be potential for penalty for linking them together on other sites as well?

Which is better - A) links from multiple IP addresses, or B) Links with more associated social signals?

Which parameter does google value more: number of incoming links or on-page optimizations (meta data and keywords)?
I am just starting with the SEO and I have a client in the travel industry whose website is not ranked well on the search engines. After doing the seo audit we see that the website's on-page optimization (meta titles, meta description, meta keywords and h1, h2, etc tags) is bad. At the same time there are very few incoming links into the website. These are the key 2 issues we found. In order to proceed most effectively, what do you think would be more effective to focus on first? Doing the on-site optimization or focusing more on the link building?
