Really, is there much difference between an unnatural links warning and Penguin?

We know that the unnatural links warnings are manual and that Penguin is algorithmic. (I'm not talking about the latest round of confusing unnatural links warnings, but the ones sent out months ago that eventually resulted in a loss of rankings for those who didn't clean their link profiles up.)
Is there much difference in the recovery process for either? From what I can see, both are about unnatural/spammy linking to your site. The only difference I can see is that once you feel you've cleaned up after getting an unnatural links warning you can file a reconsideration request. But, if you've cleaned up after a Penguin hit you need to wait for the next Penguin refresh in order to see if you've recovered.
Are there other differences that I am not getting?

Thanks Ruth, so would you agree that the cleanup is the same? Whether you had a manual warning, or you got hit with Penguin, the way you would recover is the same (other than filing for reconsideration request with the former)?

The main difference between the two is that a reconsideration request is more likely to work with a link warning than with a regular Penguin hit. Penguin is algorithmic, whereas the link warnings were usually triggered by/resulted in manual penalties. Either way, it's a good idea to try to get as many spammy links removed/updated as possible, as well as build some new, non-spam links to increase the percentage of your links that are not spammy.
I wouldn't suggest building more spammy links to drown out the Penguin-targeted links - why not spend that time and effort building some natural links? They will last longer and if you do have to do a reconsideration request you're not running the risk that Google will also see your brand-new spam links.

Theoretically no, practically yes.
A manual penalty will be reviewed by the Google Spam Team. If you are not successful at removing the links, you will need to provide extensive documentation on the steps taken to remove the penalty. When Google manually reviews links, they will not remove the penalty simply because you adjusted anchor text. If the link is spammy, it needs to be removed regardless of the anchor text.
A penguin penalty can be algorithmically removed. Many SEO companies are simply manipulating the anchor text rather then removing the spammy links and they are getting away with it to at least some degree...for now. Another tactic is to "drown out" the links penalized by Penguin with other spammy links which do not use anchor text. These solutions are quite bad as these sites are subject to future penalties as Google improves their algorithms.

Does Disavowing Links Negate Anchor Text, or Just Negates Link Juice
I'm not so sure that disavowing links also discounts the anchor texts from those links. Because nofollow links absolutely still pass anchor text values. And disavowing links is supposed to be akin to nofollowing the links. I wonder because there's a potential client I'm working on an RFP for and they have tons of spammy directory links all using keyword rich anchor texts and they lost 98% of their traffic in Pengiun 1.0 and haven't recovered. I want to know what I'm getting into. And if I just disavow those links, I'm thinking that it won't help the anchor text ratio issues. Can anyone confirm?

Internal links question
I've read that Google frowns upon large numbers of internal links. We're building a site that helps users browse a list of shows via dozens of genres. If the genres are expose, say, as a pulldown menu as opposed to a list of static links, and selecting the pulldown option filters the list of shows, would those genres count against our internal links count?

Should we show(to google) different city pages on our website which look like home page as one page or different? If yes then how?
On our website, we show events from different cities. We have made different URL's for each city like www.townscript.com/mumbai, www.townscript.com/delhi. But the page of all the cities looks similar, only the events change on those different city pages. Even our home URL www.townscript.com, shows the visitor the city which he visited last time on our website(initially we show everyone Mumbai, visitor needs to choose his city then) For every page visit, we save the last visited page of a particular IP address and next time when he visits our website www.townscript.com, we show him that city only which he visited last time. Now, we feel as the content of home page, and city pages is similar. Should we show these pages as one page i.e. Townscript.com to Google? Can we do that by rel="canonical" ? Please help me! As I think all of these pages are competing with each other.

Do links from twitter count in SEOMoz's Toolbar link count?
I am using the Chrome extension and looking at a SERP, when a page is said to have 2000 incoming links, does that include tweets with a link back to this page? What about retweets. Are those counted separately or as one? And what about independent tweets that have exactly the same content (tweet text + link)

Competing with Spammy Links
One of my client's leading competitors is well stacked in terms of rank/authority. PA: 61, DA: 53. However, in OSE I estimate that +/- of all links on the first page are from sites such as "http://www.shopp011.freedownloadhub.com/Link-Exchange/browse.php?id=17", "http://www.shopp002.freedownloadhub.com/Link-Exchange/browse.php?id=17", "http://www.shopp029.freedownloadhub.com/Link-Exchange/browse.php?id=17". Personally, I would consider this to be a little spammy. However, I admit that I could be wrong. What's the best approach when trying to take on a competitor like this? Wait it out and tell my client to keep blogging/selling as per the schedule until Google pics up on these links?

Switching to masked affiliate links
Hi there, I run a content affiliate website where I introduce products in articles and then link to merchants where the user can buy the respective product. Currently I am using regular affiliate links here with the "nofollow" attribute. With growing size of the site, I would like to switch to masked affiliate links, so instead of a link like "jdoqocy.com/click-123" I want to use "mydomain.com/recommend/123". My question here is: When switching to masked affiliate links, does it makes sense to also convert all the older unmasked affiliate links? If yes, what would be the best way to do that - Convert all old links at once or convert them over time (e.g. over a few month)? Currently about 2/3 of my site's outbound links are unmasked, external affiliate links. So I am afraid that changing this relatively large share of links from unmasked external affiliate links to masked links doenst look natural at all... Thank you for your advice!
