Importance of SEO Friendly URLs

Hey SEOZ!
How important do you all think SEO friendly URLs are to SEO. Here is an example:
Non: http://www.domain.com/cart.php?m=product_detail&p=2964
Friendly: http://www.domain.com/product_name_here.html
I have always heard mixed reviews but did an experiment comparing results on the same domain and actually noticed quite a difference with the friendly ones.

Clearly the friendly URL has the advantage. URLs are not a large ranking factor in and of themselves, but there are two additional effects to consider:
1. Friendly URLs affect CTR. Many users will examine a URL when deciding whether to click through or not.
2. Friendly URLs improve anchor text link juice flow. If your page URL is /watches then any links where the referring site simply copies your URL will have your product name (watches) in the URL.

I think the importance is very slowly diminishing (but will never really go away). However, I believe it is necessary when you are in a competitive vertical with exact matched domains. That way you can perfect the rest of the on-page parameters, and still not come up short because of an exact matched domain.

International Seo - Canada
Our organization is currently only operating in the USA but will soon be entering the Canadian market. We did a lot of research and decided that for our needs it would be best to use a subfolder for Canada. Initially we will be targeting the english speaking community but eventually we will want to expand to the french speaking Canadians as well. Client with Very Very Bad Onsite SEO
So one of my clients has a really really bad website from the technical perspective. I am talking over 75k in violations and warnings. Granted, the tagging is done well but any other SEO violation you can think of is occurring. In any case, they are building a new website, and I am on a retainer for a couple hours a week to do some link building. I am feeling like I am not getting anywhere. What is your advice? Should I keep on keeping on or advice the client to put SEO on hold until the technical issues are resolved. I feel like all of this link building isn't having the value that it could have with a site like this.
