There are many factors involved but, at a high level, a bad link profile as detected by Google's Penguin algorithm is one with a high percentage of keyword anchor text links.
The way most natural links are created is to copy and paste a link. For example, a link to this Q&A thread is: http://www.seomoz.org/q/how-does-a-good-link-portfolio-look-like. When site owners create links to their own site, they often try to take advantage of Google's algorithm by using specific keywords such as good link thread.
When you take a site which sells watches and you look at the profile and see most of the links are URLs with some occasional anchor text links thrown in, that would be a more natural profile. When you see most of the links use anchor text such as "best watches" or "cheap watches" that indicates a high likelihood of manipulation.
There are numerous other aspects of a good or bad link. Some criteria to consider:
-
the PR of the linking page
-
the number of links on the linking page
-
the position of the link (in content is best whereas a footer link would offer less value)
-
the anchor text
-
the relevance of the linking site to the target page
You can go to Open Site Explorer and examine the backlink profile of good sites such as Google and the New York Times, then compare it to some spammy sites. You will see the difference quickly.

Refferal links
I have a site where I can pick up where my hits came from. So if somebody clicks from another website link to visit my website, I will then pick up from which website they came from and also which page they landed on. Will google penalize me for this and see this as paid advertising?

Using an SEO Agency to build one-way links for you via link exchange
There are a number of SEO agencies which offer link building as part of their SEO offerings. I believe they build one-way links to the client site, by offering another link in exchange to the liking site. So, if the client site is "C", and link is being requested from site "A", the site "A" owner is offered a link from site "B" in return. Is this a good and/or recommended practice?

SEOs and web developers frequently leave links to their site in the footer of their clients' sites. Does this negatively impact the site with the links?
Does this provide any SEO value to the receiving site? Has anyone experienced problems doing this?

New ways to get links (excluding on site link bait)?
Fellow SEOs, I’m looking for a new way to reach out to bloggers and site owners for links. There are quite a few link bait techniques to lure bloggers thanks to = amazing content, infographics,...but there are not so many articles on ways to contact bloggers/webmasters and ask for links... We all know that contacting site owners directly and politely asking then to place a link on their home page is as useful as a comb in Bruce willis’s hand. Link exchange is as dead as the Dodo and business partner links are usefull and easier to get but opportunities are often limited. I have been organizing contests for bloggers recently and it has been quite successful up to now, but I always like to have a spare trick up my sleeve. So if any of you have a decent method to reach out to bloggers/webmaster and get decent links please let me know, I will be forever thankful ; ) Cheers
